The Role: A Cornerstone in Governance and Risk
The Governance and Enterprise Risk Management Advisor will serve as a vital part of Mercy Corps’ Legal Department, reporting directly to the General Counsel. This strategic position bridges governance, compliance, and risk management, ensuring that the organization maintains robust systems of accountability and transparency.
The Advisor will also collaborate closely with senior leaders, including the Executive Leadership Team, the Director of Board Strategy and Engagement, and the Enterprise Risk Management Committee (ERMC).
This is a Level 3 Risk Role, meaning it involves access to sensitive data and a high degree of organizational accountability — ideal for professionals seeking to make a measurable difference through structured risk and governance leadership.
Key Responsibilities
🧭 Governance and Policy Coordination
The Advisor will take the lead in maintaining and enhancing Mercy Corps’ governance and policy frameworks across multiple jurisdictions, including the UK, US, and Netherlands. Core responsibilities include:
- Ensuring compliance with regulatory bodies such as the IRS, OSCR, KvK, and Companies House.
- Drafting, updating, and maintaining governance-related documents and reports.
- Advising internal and external stakeholders on governance requirements and responding to donor due diligence inquiries.
- Managing Mercy Corps’ policy management framework and coordinating policy reviews.
- Supporting corporate governance oversight for global affiliates and subsidiaries.
- Coordinating Board and Committee meetings, preparing materials, and maintaining accurate records and minutes.
The Advisor will also serve as a key point of contact for governance processes, helping to streamline communication between Mercy Corps’ legal, operational, and programmatic teams.
⚖️ Enterprise Risk Management (ERM)
As a central figure in the organization’s risk management ecosystem, the Advisor will work closely with the ERM Committee to implement and evolve the Enterprise Risk Management Framework.
Core duties include:
- Coordinating ERM meetings, documentation, and reporting.
- Supporting the development of risk assessment tools and frameworks.
- Advising on and helping implement risk mitigation systems and best practices.
- Managing cross-departmental initiatives related to risk identification, evaluation, and response.
This function is critical in ensuring that Mercy Corps continues to operate safely, efficiently, and in full compliance with international governance standards — even in high-risk or fast-changing environments.
Candidate Profile
Mercy Corps is seeking a strategic, detail-oriented, and highly organized professional with the following qualifications and experience:
- Bachelor’s degree (BA/S) in Law, Governance, Business Management, or a related field (Master’s preferred).
- Minimum 3 years of experience supporting in-house legal teams or working in risk management.
- Strong understanding of UK, Dutch, and US laws relevant to corporate governance, compliance, and audit.
- Exceptional writing, organizational, and analytical skills.
- Proven ability to work cross-culturally and communicate effectively across departments and regions.
- Advanced MS Office proficiency (Excel, Word, PowerPoint, Outlook).
